    2. Services Description

    HireZep provides employer of record services, contractor management solutions, and global payroll processing for companies hiring international employees and contractors. Our platform facilitates legal employment, payroll, benefits administration, and compliance with local regulations in multiple countries.

    3. Account Registration

    To access certain features of our Services, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process and keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

    4. Service Fees and Payment

    Fees for our Services will be as set forth in a separate written agreement between you and HireZep or as published on our website. You agree to pay all fees in accordance with the payment terms set forth in such agreement or on our website. All payments are non-refundable unless expressly stated otherwise.

    5. Client Responsibilities

    As a client of our Services, you agree to:

    • Provide accurate and complete information about your company and employees
    • Promptly notify us of any changes to such information
    • Cooperate with us to ensure compliance with applicable laws and regulations
    • Maintain confidentiality of sensitive information shared during service provision
    • Make timely payments for payroll, benefits, and our service fees

    6. Intellectual Property

    The Services and their original content, features, and functionality are and will remain the exclusive property of HireZep and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of HireZep.

    7. User Content

    You retain all rights to any content you submit, post, or display on or through the Services. By providing content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the Services to you.

    8. Limitation of Liability

    In no event shall HireZep, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

    9. Indemnification

    You agree to defend, indemnify, and hold harmless HireZep and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the Services or your violation of these Terms.

    10. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

    11. Changes to Terms

    We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

    12. Termination

    We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
